Morning Analysis — 2026-09-25
Dek
Oracle just discovered the fine print in its own data center leases — and everyone who sold the AI buildout a shovel is reading it this morning.
The Big Shift
Oracle sent a force majeure notice to Blue Owl over Project Jupiter, the 2.5GW Stargate campus in New Mexico, letting it delay payments if the site misses its 2028 target (1). Force majeure is the "acts of God" clause — it excuses a party from paying when something outside its control breaks the schedule. This is the first time a named AI buyer has formally moved *not to pay* a data center developer, and it turns an abstract worry — that signed contracts are softer than they look — into a documented precedent. What it signals: the risk in this trade is shifting from "can we build it?" to "will the tenant honor the lease when we do?"
Analysis
The escape hatch reprices the landlord model, not the equipment model. Oracle is the marquee counterparty for BE (2.8GW) and the template for WULF, IREN and KEEL — crypto miners pivoting to hosting AI compute. Their whole pitch is that a signed contract with a hyperscaler equals bankable revenue. A force majeure notice says the contract has give in it. Contrast that with VRT and ETN, who sell gear against purchase orders on far shorter cycles: Goldman now sees hyperscaler AI capex rising 50% to $1.2 trillion (2), and Vertiv is buying King Environmental Services to own more of the liquid-cooling service layer (3). Implication: the barbell widens. Short-cycle picks-and-shovels stay long; multi-year lease-dependent names need a haircut on contract certainty. The caveat on the capex number is the recurring thread that hyperscaler cash flow would need to roughly triple to fund it — a forecast is not a funded order.
Siting is now as hard a constraint as power. Prince William County in Northern Virginia — the densest data center market on earth — cut its by-right overlay district by two thirds (4). "By right" means you can build without a discretionary vote; shrinking it means every new project now needs local politics to go your way. Thailand is about to classify anything above 100MW as hyperscale with its own rules (5), and PJM's interconnection queue — the waiting line to plug into the grid — remains seized up (6). Implication: Own-the-Bottleneck pillar 1 is intact and strengthening. The scarce asset is a site with permits and a grid connection, which is exactly why Applied Digital can announce a $3.2bn Alabama build for 2028 (7) and why the behind-the-meter workarounds — fuel cells, microgrids — keep gaining oxygen. But note the tension: scarcity of supply and softness of demand can be true at once, and Oracle just showed how the second one arrives.
Copper's deficit got a real-world stress test. Escondida, the world's largest copper mine at roughly 1Mt/yr, stayed shut Thursday after a worker was killed during maintenance, with Chilean regulators on site (8). Layer on CSPT declining to set a Q4 treatment-charge guidance price — the fee smelters charge to process ore, and no guidance signals they can't agree on terms in a tight market (9) and tight overseas scrap coefficients. Implication: FCX pillar 1 confirmed; the torque is in FCX, not SCCO. Also watch the cost side — Ivanhoe Electric's Santa Cruz prefeasibility came in more expensive to build (10), which is the structural-deficit thesis stated from the supply side: new copper is getting harder to bring on, not easier.
Nuclear cleared its quietest and most important hurdle. The NRC, with DOE's Office of Energy Dominance Financing as cooperating agency, issued an Environmental Assessment and Finding of No Significant Impact for the Christopher M. Crane Clean Energy Center (11). In plain terms: the environmental review of restarting Three Mile Island Unit 1 is done, with no significant impact found — and a federal lender is formally in the docket. Implication: CEG pillar 3 (restart by Q3–Q4 2027) is confirmed and the slip-past-2028 tail risk shrinks. The broader NRC rewrite under Executive Order 14300 (12) plus a bipartisan $10bn fusion bill (13) say the policy wind on firm, always-on power is still at your back — the constraint stays physical, not regulatory.
Geopolitics is cutting against the scarcity trades this morning. Oil eased and European stocks headed for their first weekly gain in four as US and Iranian negotiators explored a phased reopening of the Strait of Hormuz (14); WTI closed at $94.32 after spiking 5% on Houthi missiles and then fading. Implication: the gas-spike trigger moves further off the table — a modest offset to the BE downgrade, and a headwind for anything priced on energy chaos. Meanwhile Xi is in Washington for the Trump summit (15). That's the single biggest binary for MP today: any easing of rare-earth export controls removes the scarcity premium outright, and it lands on top of three disconfirmers already stacking — the Army picking Vulcan Elements for domestic magnets (16), Rare Earths Americas doubling drilling on dysprosium/terbium hits in Brazil (17), and US Critical Minerals Reserve buying providing the only real offset (18). MP stays HOLD, but the summit is the event that could force a decision.
What Would Prove Us Wrong
- A second force majeure or lease renegotiation from a named hyperscaler tenant within ~30 days. One notice is a project-specific dispute; two is a pattern. Watch for Microsoft, Meta, Amazon or Google filings/8-Ks disclosing delayed lease commencements, or a REIT/private-credit landlord (Blue Owl, Digital Realty, Crusoe) disclosing a payment dispute. That would take Own-the-Bottleneck from HOLD to DOWN and push BE and WULF from "contract risk" to "demand shock" — and it would eventually reach VRT/ETN order books too. Conversely, Oracle publicly withdrawing or settling the notice on original terms would restore the signed-contract premium.
- Rare-earth export-control easing out of the Trump–Xi summit. Concretely: any joint statement or Commerce/MOFCOM notice relaxing licensing on NdPr, dysprosium or terbium, or Chinese magnet export volumes turning up month-over-month. That hits MP pillar 1 directly — the thesis depends on a Western price premium that only exists while China restricts flow. Pair it with Vulcan Elements publishing tonnage and a commissioning date; a credible second domestic supplier at scale erodes MP's pricing power even without Beijing's help.
- Escondida restarting within days with no output guidance cut, plus Q4 TCs settling higher. If BHP resumes normal operations quickly and the regulator closes without production restrictions, this was a headline, not a supply event — that weakens the near-term leg of FCX pillar 1 (structural deficit). Measurable markers: BHP guidance reaffirmed unchanged, LME copper giving back the outage premium, and spot treatment charges moving up rather than staying pinned near zero.
Thesis Impact
CEG | Conviction: UP | Surprise: MED | NRC (lead) + DOE Office of Energy Dominance Financing issued an Environmental Assessment and Finding of No Significant Impact for the Christopher M. Crane Clean Energy Center — the environmental leg of the Crane/TMI-1 restart is now cleared, and DOE's financing arm is formally in the file. CONFIRMS pillar 3 (restart by Q3–Q4 2027) and cuts the tail risk of a slip past 2028. | 11
BE | Conviction: DOWN | Surprise: MED | Oracle sent a force majeure notice to Blue Owl over the 2.5GW Project Jupiter campus in New Mexico, letting it delay payments if the site misses 2028. Oracle is BE's marquee 2.8GW counterparty — this is direct evidence it will use contractual escape hatches on data center obligations. CONTRADICTS pillar 2 (orders convert to deployed revenue). Partly offset by oil easing on the Hormuz talks, which takes the gas-spike trigger further off the table. | 1
FCX | Conviction: UP | Surprise: MED | Escondida — the world's largest copper mine — stayed shut Thursday after a worker was killed in maintenance, with Chilean regulators investigating. Unscheduled loss at ~1Mt/yr of supply, on top of CSPT declining to set Q4 TC guidance and tight scrap coefficients. CONFIRMS pillar 1 (structural deficit); FCX has the most price torque of the two copper names. | 8
VRT | Conviction: UP | Surprise: MED | Two confirms in one tape: Goldman now sees hyperscaler AI capex up 50% to $1.2T, and Vertiv is buying King Environmental Services, a data center fluid-management firm, closing before year-end — a direct bolt-on into the liquid-cooling service layer. CONFIRMS pillars 1 and 2. Counterweight: the recurring "hyperscaler cash flow may need to triple" thread says the capex forecast is not self-funding. | 3
WULF | Conviction: DOWN | Surprise: MED | The Oracle force majeure is a sector-level precedent for exactly the landlord model WULF is pivoting into: a named AI tenant moving to stop paying a data center developer when a site slips. CONTRADICTS pillar 2 (signed HPC hosting contracts ramp without slips) — it reprices signed-contract certainty across the crypto-to-AI names, WULF, IREN and KEEL alike. | 19
ETN | Conviction: UP | Surprise: MED | Goldman's $1.2T hyperscaler capex estimate (+50%) is a fresh, specific upgrade to the size of the demand wave feeding electrical content. Applied Digital also disclosed a funded $3.2bn Delta Forge 2 build in Alabama for 2028. CONFIRMS pillars 1 and 2; nothing in the tape points at orders or margins rolling over. | 2
Own-the-Bottleneck | Conviction: HOLD | Surprise: MED | Both sides moved. Confirming: Prince William County cut its by-right data center overlay by two thirds — siting joins power as a hard constraint in the largest US market. Contradicting: Oracle's force majeure is the first time a named buyer has negotiated *not* to pay, which is how a demand shock starts showing up in the chain. Pillar 1 intact; watch whether the escape-hatch behavior spreads. | 4
MP | Conviction: HOLD | Surprise: LOW | Three recurring disconfirmers stacking rather than one new one: the Army picked Vulcan Elements (NC magnets, larger plant building) — a second Western magnet producer scaling; Rare Earths Americas doubled drilling at Homer in Brazil on Dy/Tb-enriched intercepts; and Xi is in Washington for the Trump summit, where an export-control easing would remove the scarcity premium outright. All LOW surprise individually, but they all lean the same way. Offset: the US Critical Minerals Reserve is buying inventory. | 16
SCCO | Conviction: HOLD | Surprise: MED | Escondida's shutdown and tight scrap/TC data CONFIRM pillar 1, but at P=0.93 a supply outage that is likely days-long adds little. Holding; the move is in FCX. | 8

QA & Caveats
- CEG: Supported by the official Environmental Assessment and Finding of No Significant Impact.
- BE: Supported by Oracle's force majeure notice, which demonstrates contractual risk.
- FCX: Supported by the mine shutdown and declining guidance context.
- VRT: Supported by the acquisition news and the context regarding hyperscaler cash flow.
- WULF: Supported by the Oracle force majeure event as a precedent for landlord behavior.
- ETN: Supported by the specific hyperscaler capex estimate and the Applied Digital build announcement.
- Own-the-Bottleneck: Sound synthesis of the data center siting constraint and the force majeure behavior.
- MP: The call is based on stacking low-surprise events (mining, geopolitical positioning). No single event strongly drives the conclusion.
